Item 8.01. Other Events
On April 26, 2007, Sigma Designs, Inc. (the “Company”) received a letter from the Nasdaq Stock Market (“Nasdaq”) informing it that the Nasdaq Listing and Hearing Review Council has determined, based upon Nasdaq Listing Qualification staff review of the Company’s Annual Report on Form 10-K for the year ended February 3, 2007 and Forms 10-Q for July 29, 2006 and October 28, 2006 which were filed on April 20, 2007, that the Company has demonstrated compliance with all Nasdaq Marketplace Rules and that Nasdaq’s delisting action is closed.
