Item 8.01 Other Events.
On June 4, 2007, Linear Technology Corporation issued a press release announcing its intention to file a shelf registration statement on Form S-3 with the Securities and Exchange Commission registering its 3.00% Convertible Senior Notes due May 1, 2027 and its 3.125% Convertible Senior Notes due May 1, 2027, and any common stock issuable upon conversion of such notes. A copy of this press release is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
