Consummation of the Merger is subject to various conditions, including, among others, (i) requisite approval of the holders of LBI common stock; (ii) effectiveness of a FormS-4 registration statement relating to the F&M common stock to be issued in the Merger and listing of the F&M common stock to be issued in the Merger on the NASDAQ Capital Market; and (iii) receipt of regulatory approvals.
The Merger Agreement contains certain termination rights for both F&M and LBI. Under certain circumstances, termination of the Merger Agreement may result in the payment of a termination fee of $3,500,000 to F&M, all as more fully described in the Merger Agreement.
