Item 8.01. Other Events.
Farmers & Merchants Bancorp, Inc. (“F&M”) is filing this Form8-K/A to amend its current report on Form8-K filed with the Securities and Exchange Commission on September 13, 2018 (the “Original Form8-K”). The Original Form8-K reported that Farmers & Merchants State Bank (the “Bank”), the wholly-owned subsidiary of F&M, had entered into an employment agreement with Lars B. Eller, under which Mr. Eller would become the President and Chief Executive Officer of the Bank. The press release that was included with the Original Form8-K as Exhibit 99.1 incorrectly stated in paragraph two that Mr. Eller had been Head of Wealth Management for TD Bank. Mr. Eller’s position with TD Bank actually was Head of National Sales for the U.S. TD Bank Wealth Business.
