Item 8.01. Other Information.
On September 26, 2011, AMAG Pharmaceuticals, Inc., the Company or AMAG, issued a press release urging stockholders to postpone making any decision yet on the preliminary consent solicitation by Martin Shkreli, his firm, MSMB Capital Management LLC, and their respective affiliates, including Ironman Acquisition, LP and Ironman Acquisition GP, LLC. A copy of AMAG’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company and certain of its directors and executive officers may be deemed to be participants in the solicitation of consent revocations from stockholders in connection with a consent solicitation by MSMB Capital Management LLC to repeal all changes to the Amended and Restated Bylaws of the Company (the “Bylaws”) made since July 1, 2011, remove six members of the Board of Directors of the Company, amend the Bylaws so that any vacancies of the Board are filled only by the Company’s stockholders, and to elect five members to the Company’s Board (the “Consent Solicitation”). The Company expects to file a preliminary consent revocation statement with the Securities and Exchange Commission (the “SEC”) in connection with the solicitation of written consents in connection with the Consent Solicitation (the “Consent Revocation Statement”).
