On February 6, 2007, Health Management Associates, Inc. (“HMA”) and William J. Schoen, HMA’s Chairman of the Board of Directors, executed the First Amendment to Employment Agreement Between Health Management Associates, Inc. and William J. Schoen (the “Amendment”). The Amendment, which modifies the terms of that certain Employment Agreement between the parties dated January 2, 2001, provides Mr. Schoen and his spouse with either lifetime health care coverage in accordance with the terms of HMA’s health plans applicable to executive officers or Medicare supplement insurance that provides benefits equivalent to those available under HMA’s health plans. A copy of the Amendment is attached to this Current Report on Form 8-K as Exhibit 99.1.
