Departure of Directors or Certain Officers
On March 24, 2020, Gregory L. Werner, Director, gave notice of his decision to retire from the Board of Directors of Werner Enterprises, Inc. (the "Company"), effective March 24, 2020. Mr. Werner's decision to retire does not relate to any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
As a result, the size of the Board of Directors decreased from nine members to eight members on March 24, 2020. The Company's By-Laws require not less than seven nor more than nine directors.
