ITEM 1.01ENTRY INTO A DEFINITIVE MATERIAL AGREEMENT
On May 29, 2020, Vitro Diagnostics Inc. d/b/a Vitro Biopharma (the “Company”) signed a Memorandum of Understanding (“MOU”) with the Global Institute of Stem Cell Therapy and Research, Inc. (“Giostar”). A copy of the MOU is filed herewith as Exhibit 10.1.
Under the terms of the MOU, the Company and Giostar will jointly partner together for a COVID-19 Investigational New Drug (“IND”) to the FDA using the Company’s umbilical cord mesenchymal stem cell productAlloRx Stem Cells™ in a clinical trial to treat Covid-19 patients.
ITEM 7.01REGULATION FD DISCLOSURE
On June 2, 2020, the Company issued a press release announcing that it had entered into an exclusive Memorandum of Understanding (MOU) with Global Institute of Stem Cell Therapy and Research, Inc. (“Giostar”) a leading stem cell research institute based in San Diego, California to jointly partner together for a COVID-19 Investigational New Drug (“IND”) to the FDA using the Company’s umbilical cord mesenchymal stem cell productAlloRx Stem Cells™ in a clinical trial to treat Covid-19 patients. A copy of the press release is filed herewith as Exhibit 99.1.
