2. For the payment period, the cost basis was determined based on the closing price of Blue Dolphin Energy Company's common stock on the last trading day in the three-month period in which services were rendered. Issuance represents payment for the three-month period that ended September 30, 2022.

3. Mr. Morris also indirectly owns 200,349 shares of common stock through his ownership interest in Mpact Partners, LLC.
