Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
By letter dated January 7, 2008, Otis W. Brawley, M.D. resigned from the Board of Directors of the Company, effective January 15, 2008. Dr. Brawley resigned due to the requirements of his new position as Chief Medical Officer and Executive Vice President for Research and Cancer Control Science of the American Cancer Society.
The text of Dr. Brawley’s resignation letter is filed as Exhibit 17.1 to this Form 8-K.
