This Current Report on Form 8-K is filed by ViaSat, Inc., a Delaware corporation (the “Company”), in connection with the matters described herein.
ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On October 11, 2006, the Company’s Compensation and Human Resources Committee of the Board of Directors (the “Committee”) approved the grant of non-qualified stock options (“NQSOs”) and deferred stock (also referred to as restricted stock units or “RSUs”) to certain executive officers of the Company. The following table sets forth the number NQSOs and RSUs granted to the Company’s Named Executive Officers (which officers were determined by reference to the Company’s proxy statement dated August 14, 2006) (the “Awards”).

These NQSOs have a term of six years and vest over a period of four years with one-fourth vesting on each anniversary of the grant date. These RSUs vest over a period of four years with the first one-fourth vesting on the thirteen month anniversary of the grant date and the remaining three-fourths vesting on the second, third and fourth anniversary dates of the grant date.
On October 11, 2006, the Committee approved the form of restricted stock unit agreement to be used in connection with standard grants of RSUs to Company employees and the form of restricted stock unit agreement to be used in connection with grants of RSUs to executive officers of the Company.
