Explanation of Responses:

1. The sole purpose of this amended filing is to add as an exhibit the reporting person's power of attorney. Mr. Dunham's holdings as reported in the original filing were correct and have not been amended, but the line item holdings set forth above have been re-reported in this amendment in order to gain access to the Edgar filing system, which will not permit an amendment without line item entries.
