Explanation of Responses:

1. The reporting person's original Form 3 reported 23,423 shares of common stock directly held by the reporting person, but that number was low by 3,000 shares, and should have been 26,423. Accordingly, the original Form 3 and a Form 4, both filed April 3, 2017, showed directly held shares in an amount that was 3,000 shares less than actual. This amendment is filed to correct the balance going forward.
