On June 9, 2008, Cost Plus, Inc. (the “Company”) issued a press release in connection with its receipt of a non-binding, highly conditional and unsolicited proposal from Pier 1 Imports, Inc. to acquire the Company in a stock-for-stock transaction. The press release contained an error in the “About Cost Plus, Inc.” subsection. The Company currently operates 295 stores in 33 states. A copy of the press release, as issued, is furnished as an exhibit to this Form 8–K and is incorporated herein by this reference.
