Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On November 17, 2008, we filed a Certificate of Amendment to our Articles of Incorporation (the “Certificate of Amendment”), which increased our number of authorized shares of common stock from twenty million (20,000,000) shares to fifty million (50,000,000) shares. The increase was effective upon filing of the Certificate of Amendment with the Secretary of State of the State of Nevada.
The foregoing description of the changes to our Articles of Incorporation is qualified in its entirety by reference to the full text of the Certificate of Amendment, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
