Item 1.01 Entry into a Material Definitive Agreement.
On April 11, 2008, Almost Family, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies & Company, Inc. (the “Underwriter”) pursuant to which the Company agreed to issue and sell 2,250,000 shares of its common stock, par value $.10 per share ("Common Stock"), in an underwritten public offering. The Underwriting Agreement also grants the Underwriter an option for up to 30 days to purchase up to 337,500 additional shares of the Company's Common Stock to cover over-allotments, if any.
The net proceeds to the Company from the sale of the 2,250,000 shares of Common Stock, after underwriting discounts and offering expenses, will be approximately $37,340,950, or approximately $43,017,093 if the Underwriter exercises the over-allotment option in full The Company intends to use the net proceeds from the public offering to repay indebtedness and for other general corporate purposes, including to fund possible future acquisitions.
The Underwriting Agreement contains customary representations, warranties and agreements of the Company and customary conditions to closing, indemnification rights, obligations of the parties and termination provisions.
The offering is being made pursuant to the Company’s effective shelf registration statement on Form S-3 (Registration No. 333-143459) previously filed with the Securities and Exchange Commission. The Underwriting Agreement is filed as Exhibit 1.1 to this report and is incorporated herein by reference. The foregoing description of the material terms and conditions of the Underwriting Agreement is qualified in its entirety by reference to such exhibit.
