On May 3, 2016, M/I Homes, Inc. (the “Company”) held its 2016 Annual Meeting of Shareholders. The results of the matters voted on by shareholders at the Annual Meeting were as follows:

2) | The shareholders, (a) approved an amendment to the M/I Homes, Inc. 2009 Long-Term Incentive Plan to (i) increase the number of common shares available for issuance under the plan from 2,600,000 common shares to 3,900,000 common shares and (ii) add a limit on the aggregate value of equity-based awards that may be granted to our non-employee directors under the plan during any fiscal year and (b) reapproved the material terms of the performance goals under the M/I Homes, Inc. 2009 Long-Term Incentive Plan in accordance with Section 162(m) of the Internal revenue Code of 1986, as amended, and the Treasury Regulations promulgated thereunder. |
