ITEM 8.01 OTHER EVENTS
On August 9, 2021, M/I Homes, Inc. (the “Company”) issued a press release announcing its intention to offer, subject to market and other conditions, $300 million aggregate principal amount of senior notes due 2030 (the “New Senior Notes”) in an unregistered offering pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. A copy of this press release is attached hereto as Exhibit 99.1.
The Company intends to use a portion of the net proceeds from the offering of New Senior Notes to redeem all $250 million aggregate principal amount of its outstanding 5.625% senior notes due 2025. The Company intends to use the balance of the net proceeds for general corporate purposes.
This report is neither an offer to sell nor the solicitation of an offer to buy any of the New Senior Notes.
