Reference is made to the Registration Statement on Form S-4 (as amended through the date hereof, the “Registration Statement”) of Webster Financial Corporation, a Delaware corporation (“Webster”), relating to the up to 7,005,834 shares of common stock, par value $0.01 per share, of Webster (including the related preferred share purchase rights, “Common Stock”) to be issued by Webster in connection with the proposed merger of FIRSTFED AMERICA BANCORP, INC., a Delaware corporation, with and into Webster.

Securities and Exchange Commission and the Shares have been issued in accordance with the terms of the Agreement and Plan of Reorganization included as Appendix A to the Registration Statement and as described in the Registration Statement, the Shares will be validly issued, fully paid and nonassessable under the General Corporation Laws of the State of Delaware.
