Explanation of Responses:

1. The executive was awarded a total of 500,000 shares of restricted common stock when joining the Company. All of the shares are subject to certain reverse vesting conditions. As of the dates of this filing the executive has fully earned 100,000 of those shares.

2. On 06-01-2018 the executive was granted 100,000 of restricted stock as a performance bonus. These shares are not subject to further performance requirements.
