Item 3.01.
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On July 12, 2007, Parlux Fragrances, Inc. (the "Company") received a notice from The Nasdaq Stock Market ("Nasdaq") that the Company's filing delinquency has been cured. As a result, the hearing that the Company requested has been deemed moot by Nasdaq and will not be held.
The Company issued a press release on July 16, 2007 to announce that it had received the compliance notice. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
