On September 24, 2004, Prime Hospitality Corp. issued a press release,
attached hereto as Exhibit 99.1 and incorporated by reference, announcing the
determination of the consideration to be paid in for its outstanding 8 3/8%
Senior Subordinated Notes due 2012, in connection with its previously announced
cash tender offer and consent solicitation for the Notes.
