Item 2.02. Results of Operations and Financial Condition

       On October 24, 2012, California First National Bancorp ("CFNB") announced its financial results for the fiscal quarter ended September 30, 2012 and certain other information. A copy of CFNB's press release announcing these financial results and certain other information is attached as Exhibit 99.1.

        In accordance with General Instruction B.2 of Form 8-K, the information in this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liability of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

Item 5.07 Submission of Matters to a Vote of Security Holders

        On October 23, 2012, the Annual Meeting of the stockholders of California First National Bancorp was held. As of September 14, 2012, the record date, there were 10,447,227 shares of Common Stock outstanding and entitled to vote at the meeting. Of the total outstanding Common Stock, 9,248,374 were voted at the meeting. There was only one item voted on and preliminary results were reported at the meeting. The following is a brief summary of the voting results from the meeting, including the number of votes cast for, against or withheld, as well as the number of abstentions.
