Explanatory Note

       This Form 8-K/A amends the Current Report on Form 8-K filed by California First National Bancorp on July 31, 2013, that incorrectly referred to events and reports from April 24, 2013 instead of July 31, 2013. In addition, this amendment corrects a table heading in the press release attached hereto that indicated "Nine Months Ended June 30" instead of "Years Ended June 30". In all other respects, the press release is unchanged.

Item 2.02. Results of Operations and Financial Condition

       On July 31, 2013, California First National Bancorp ("CFNB") announced its financial results for the fiscal quarter and year ended June 30, 2013 and certain other information. A copy of CFNB's press release, as corrected, announcing these financial results and certain other information is attached as Exhibit 99.1.

        In accordance with General Instruction B.2 of Form 8-K, the information in this Current Report on Form 8-K/A, including Exhibit 99.1, shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liability of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
