On February 15, 2012, The Procter & Gamble Company ("Company") issued a news release announcing that it has reached an agreement to divest the Company's Snacks business to The Kellogg Company in a $2.7 billion all-cash transaction.
The Company is furnishing this 8-K pursuant to Item 7.01, "Regulation FD Disclosure."
