On October 30, 2018, The Procter & Gamble Company (the “Company”) closed an underwritten public offering of €800,000,000 aggregate principal amount of 0.625% Notes due October 30, 2024, €800,000,000 aggregate principal amount of 1.200% Notes due October 30, 2028 and €500,000,000 aggregate principal amount of 1.875% Notes due October 30, 2038 under the Company’s Registration Statement on FormS-3 (RegistrationNo. 333-221035). Legal opinions related to these notes are attached hereto as Exhibits (5)(a) and (5)(c) and are incorporated herein by reference.
