Item 8.01.
Other Events.
On April 19, 2006, we issued a press release announcing the appointment of Ms. Phoebe P. Zarnegar, a current member of our board, as a new member to the audit committee of the board of directors. As a result of the appointment, the audit committee is comprised of three independent directors, as required by Nasdaq Marketplace Rule 4350. The appointment cures our noncompliance with this Nasdaq requirement, which we previously announced on April 6, 2006, that was caused by the death of one of our audit committee members on March 17, 2006. Official notice was received from Nasdaq that the Company complies with the rule and the matter is closed.
