(2) | On November 8, 2005, the Company announced its intention to return up to GBP1billion (USD1.72billion) to shareholders through a share repurchase program. It is intended that the shares repurchased will be held in treasury in accordance with section 162(A) of the Companies Act 1985. The repurchase program is in accordance with the Company’s general authority to make market purchases of its ordinary shares, as approved by shareholders, which expires on the date of the Company’s next annual general meeting on May 14, 2007. The Company will seek shareholder approval to renew this authority at the next annual general meeting. |

| | In our opinion, the accompanyingconsolidated income statement, the balance sheets, the cash flow statements, the consolidated statement of recognised income and expense, and the related notes present fairly, in all material respects, the financial position of BG Group plc and its subsidiaries as at 31 December 2006 and 31 December 2005 and the results of their operations and cash flows for each of the three years in the period ended 31 December 2006, in conformity with International Financial Reporting Standards (IFRSs) as adopted by the European Union. These financial statements are the responsibility of the Company’s management. Our responsibility is to express an opinion on these financial statements based on our audits. We conducted our audits of these financial statements in accordance with the standards of the Public Company Accounting Oversight Board (United States). Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. | | Internal control over financial reporting Also, in our opinion, management’s assessment, included in the accompanying “Section 404: Management’s Annual Report on Internal Control over Financial Reporting” as set out in Controls and Procedures, Item 15 of Form 20-F, that the Group maintained effective internal control over financial reporting as of 31 December 2006 based on criteria established in Internal Control – Integrated Framework issued by the Committee of Sponsoring Organizations of the Treadway Commission (COSO), is fairly stated, in all material respects, based on those criteria. Furthermore, in our opinion, the Group maintained, in all material respects, effective internal control over financial reporting as of 31 December 2006, based on criteria established in Internal Control – Integrated Framework issued by the COSO. The Company’s management is responsible for maintaining effective internal control over financial reporting and for its assessment of the effectiveness of internal control over financial reporting. Our responsibility is to express opinions on management’s assessment and on the effectiveness of the Group’s internal control over financial reporting based on our audit.
