Explanation of Responses:

1. The reporting person has gifted and transferred these shares of the issuer's common stock to The Fleming Trust. The beneficiary of that trust is the survivor of the reporting person and his spouse. Upon the death of both the reporting person and his spouse, the beneficiaries of the trust will be the reporting person's children.
