Item 8.01. Other Events.
On December 15, 2008, Emisphere Technologies, Inc. (the "Company") issued a press release reporting the death of Howard M. Pack. Mr. Pack served as a member of the Board of Directors of the Company since its inception in 1986, as well as serving as Executive Vice President of Finance from 1986 until his retirement in October 1988. Mr. Pack was 90 years old and a lifelong resident of Scarsdale, New York.
The text of the press release is attached hereto as Exhibit 99.1.
