FINAL AMENDMENT TO TENDER OFFER
This Final Amendment to the Tender Offer Statement on Schedule TO relates to the offer (the “Offer”) by: MacKenzie Realty Capital, Inc.; and MacKenzie Capital Management, LP (collectively the “Purchasers”) to purchase up to 500,000 Units of limited partnership interest (the “Units”) in Uniprop Manufactured Housing Communities Income Fund II (the “Partnership”), the subject company, at a purchase price equal to $4.50 per Unit, upon the terms and subject to the conditions set forth in the Offer to Purchase (the “Offer to Purchase”) dated May 18, 2015 (the “Offer Date”) and the related Assignment Form.
The Offer resulted in the tender by Unit holders, and acceptance for payment by the Purchasers, of a total of approximately 44,902 Units. Following the purchase of all the tendered Units, the Purchasers will own an aggregate of approximately 195,813 Units, or approximately 5.93% of the outstanding Units.
