Selected Purchase Considerations
• | The Notes have Uncapped Appreciation Potential and the Possibility of Enhanced Returns; However, if the Participation Rate is Less than 100%, the Basket Return will be Reduced by the Participation Rate:The return you receive on the notes will be impacted by the Participation Rate, which will be set on the Pricing Date and will be equal to [95% to 105%]. If the Participation Rate is greater than 100%, the notes will provide the opportunity to enhance equity returns by multiplying a positive Basket Return with Participation Rate. If, however, the Participation Rate is less than 100% and the Ending Basket Level is above the Starting Basket Level, the Payment at Maturity you receive will not reflect the performance of the Basket, but a reduced percentage thereof. Therefore, in calculating the Ending Basket Level, increases in the level of one or more of the Basket Indices may be moderated, or more than offset, by lesser increases or declines in the level of the other Basket Indices. |

Example 1—The level of the Basket increases from the Starting Basket Level of 1,000 to a Ending Basket Level of 1,200.Because the Ending Basket Level is 1,200 and the Starting Basket Level is 1,000, the Basket Return is 20%, calculated as follows:

Because the Basket Return is 20%, which is greater than 0%, and the Participation Rate is 100%, the Payment at Maturity is equal to $1,200.00 per $1,000.00 principal amount note calculated as follows:

Example 2—The level of the Basket decreases from the Starting Basket Level of 1,000 to a Ending Basket Level of 800. Because the Ending Basket Level is 800 and the Starting Basket Level is 1,000, the Basket Return is -20%, calculated as follows:
(800 – 1,000)/1,000 = -20%
Because the Basket Return is -20%, which is less than 0%, and the Protected Amount, $900.00, is greater than [$1,000 + ($1,000 × (-20%))], which equals $800.00, the Payment at Maturity is equal to $900.00 per $1,000.00 principal amount note.
Example 3—The level of the Basket decreases from the Starting Basket Level of 1,000 to a Ending Basket Level of 950. Because the Ending Basket Level is 950 and the Starting Basket Level is 1,000, the Basket Return is -5%, calculated as follows:

The closing level of the S&P 500® Index on July 24, 2007 was 1,534.10. The closing level of the the Dow Jones EURO STOXX 50® Index on July 24, 2007 was 4,445.23. Supplemental Plan of Distribution
We will agree to sell to Lehman Brothers Inc., and the Lehman Brothers Inc. has agreed to purchase, all of the notes at the price indicated on the cover of the pricing supplement, the document that will be filed pursuant to Rule 424(b)(2) containing the final pricing terms of the notes.
We have agreed to indemnify Lehman Brothers Inc. against liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments that Lehman Brothers Inc. may be required to make relating to these liabilities as described in the MTN prospectus supplement and the base prospectus.
Lehman Brothers Inc. will offer the notes initially at a public offering price equal to the issue price to be set forth on the cover of the pricing supplement that will be available in connection with the sale of the notes. After the initial public offering, the public offering price may from time to time be varied by Lehman Brothers Inc.
We or our affiliate will enter into swap agreements or related hedge transactions with one of our other affiliates or unaffiliated counterparties in connection with the sale of the notes and Lehman Brothers Inc. and/or an affiliate may earn additional income as a result of payments pursuant to the swap, or related hedge transactions.
