Explanation of Responses:

1. Represents restricted stock units that are to be settled solely in shares of Common Stock. The units vest with respect to 25% of the shares on the first anniversary date of grant, and with respect to an additional 25% on each of the three anniversary dates thereafer, so long as the recipient remains in the continuous employ of the Issuer through each such respective vesting date.
