Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On May 10, 2005, the Registrant was advised by Stephen L. Gulis, Jr. that he intends to resign from the Board of Directors effective June 30, 2005. Mr. Gulis stated that his resignation is not the result of any disagreements with Management or the Board of Directors. The Nominating & Corporate Governance Committee of the Board is beginning the process of identifying a new Board member.
