Item 1.01 Entry into a Material Definitive Agreement.
On March 30, 2007, Baker Hughes Incorporated (the “Company”) entered into a letter agreement with Douglas J. Wall in connection with his resignation as Vice President and Group President of Completion and Production (the “Letter Agreement”). His resignation, which was effective March 30, 2007, was previously announced by the Company in a Form 8-K filed on March 22, 2007. The Letter Agreement provides for Mr. Wall to receive a payment of $40,000 on or before April 13, 2007 in addition to other retirement benefits and for Mr. Wall to provide cooperation and assistance to the Company for a period of two years after the termination of his employment.
The foregoing description of the Letter Agreement does not purport to be complete and is qualified in its entirety by reference to the Letter Agreement which is filed with this Form 8-K as Exhibit 10.1 and incorporated into this Item 1.01 by reference.
