Section 1. Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement.
On January 26, 2007, Host America Corporation (the “Company”) entered into a Modification Agreement (the “Agreement”) with an investor holding a $100,000 outstanding Unsecured Convertible Promissory Note (the “Note”), which was to be due two years from the date of signing of the Note on January 19, 2005. The Agreement amends the Note and related agreement entered into on January 19, 2005 with a member of our Board of Directors and extends the final maturity date of the Note to July 19, 2007. All other terms and conditions of the Note shall remain the same. The Agreement revises an agreement signed by the Company on January 19, 2007, which was reported in a Current Report on Form 8-K on January 23, 2007. In the January 19th agreement, the Company mistakenly listed the amended maturity date for the note as July 19, 2008. The Agreement, which is attached hereto as Exhibit 99.1, properly lists the new maturity date for the Note as July 19, 2007.
