ITEM 2.02. Results of Operations and Financial Condition
Citizens & Northern Corporation announced the unaudited, consolidated financial results for Citizens & Northern Corporation and subsidiaries for the three-month and six-month periods ended June 30, 2009. On July 30, 2009, Citizens & Northern Corporation issued a press release titled “C&N Announces Second Quarter 2009 Unaudited Financial Results,” a copy of which is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. Also, Citizens & Northern Corporation’s “Quarterly Report,” a report that includes unaudited financial information, will be mailed to shareholders on or about August 6, 2009.
