ITEM 8.01. Other Events
On July 28, 2010, Citizens & Northern Corporation issued a press release announcing that it has received final regulatory approval to repurchase all the preferred stock sold to the U.S. Department of the Treasury. A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference. Also, on July 28, 2010, Citizens & Northern Corporation issued a letter to shareholders from Charles H. Updegraff, Jr., President and Chief Executive Officer. A copy of the letter to shareholders is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
