Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 29, 2007, the Compensation and Human Resources Committee of the Board of Directors of CMS Energy Corporation ("CMS Energy") adopted an amendment to its Annual Officer Incentive Compensation Plan for CMS Energy Corporation and its Subsidiaries. This amendment will be effective January 1, 2008 and increases the annual award percentage for two eligible officers. The annual award is based upon a standard award percentage of the Officer's Base Salary as in effect on January 1 of the Performance Year. The standard award percentage target for the Chief Executive Officer is being increased to 100% from 65% and the Chief Operating Officer’s standard award percentage target is being increased to 60% from 55%.
