On April 20, 2020, Cedar Fair, L.P. (“Cedar Fair”) issued a news release announcing the upsize and pricing of a previously announced private offering (the “Offering”) of $1.0 billion aggregate principal amount of senior secured notes due 2025 (the “Notes”) by Cedar Fair and its wholly owned subsidiaries Magnum Management Corporation, Canada’s Wonderland Company and Millennium Operations LLC. Cedar Fair intends to use $464.0 million of the net proceeds from the Offering to repay a portion of its senior secured term loan facility, and the remaining net proceeds to pay fees and expenses related to the Offering and for general corporate and working capital purposes.
