DEREGISTRATION OF UNSOLD SECURITIES
This Post-Effective Amendment No. 1 relates to the Registration Statement (the “Registration Statement”) onForm S-3 (No. 333-165869), filed by Kaiser Aluminum Corporation (the “Registrant”) with the U.S. Securities and Exchange Commission (the “Commission”) on April 2, 2010, as amended by Amendment No. 1 thereto filed with the Commission on June 22, 2010, and as further amended by Amendment No. 2 thereto filed with the Commission on July 2, 2010, registering 3,708,922 shares of the Registrant’s common stock, par value $0.01 per share (“Common Stock”), for resale by the voluntary employees’ beneficiary association trust that provides benefits for certain eligible retirees represented by certain unions and their spouses and eligible dependants referred to as the Union VEBA Trust (the “Selling Stockholder”). The Registrant is filing this Post-Effective Amendment No. 1 to deregister any unsold shares of Common Stock that were registered under the Registration Statement.
The Selling Stockholder has terminated any and all offerings of its Common Stock pursuant to the Registration Statement. Accordingly, the Registrant hereby terminates the effectiveness of the Registration Statement and, pursuant to the undertakings contained in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities that had been registered for issuance but remain unsold at the termination of the offering, the Registrant hereby removes from registration any remaining shares of Common Stock that were registered for issuance pursuant to the Registration Statement and that remain unsold as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such Common Stock.
