PART III – NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
The Quarterly Report on Form 10-QSB of MultiCell Technologies, Inc. (the “Company”) for the three and nine months ended August 31, 2006 cannot be filed with the Securities and Exchange Commission within the prescribed time period due to unexpected delays and complications arising out of the assessment of the Company’s controls and procedures for this quarterly filing. This assessment is being reevaluated as a result of an omission in recording a stock option grant during the quarter.
The Company files this report for a 5 day extension for filing its Quarterly Report on Form 10-QSB for the three and nine month period ended August 31, 2006. The Company will not timely file its Form 10-QSB because it will be unable to complete the preparation of its financial statements by the initial filing date. The Company intends to file the Quarterly Report on Form 10-QSB as soon as practicable, and in any event prior to the 5-day extension period afforded by SEC Rule 12b-25 which would expire on October 20th, 2006.

The Company anticipates reporting losses from operations of approximately $1,135,980 and $2,972,880 for the three and nine months ended August 31, 2006 on revenues of approximately $28,874 and $601,880 for the three and nine months ended August 31, 2006 as compared to loss from operations of $931,367 and $2,950,741 for the three and nine months ended August 31, 2005 on revenues of $69,056 and $150,571 for the three and nine months ended August 31, 2005. A more detailed discussion of results of operations will be included in Management’s Discussion and Analysis of Financial Condition and Results of Operations in the Form 10-QSB to be filed.
