Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
Effective January 31, 2006, the Board of Directors of Cirticare Systems, Inc. (the "Company") increased the size of the Board from five directors to six directors and appointed Sam B. Humphries as a director. Mr. Humphries has been appointed to the class of directors whose terms expire at the 2007 annual meeting of stockholders. At this time, it has not been determined which committees of the Board Mr. Humphries may join. There are no related party transactions between the Company and Mr. Humphries that would require disclosure pursuant to Item 404(a) of Regulation S-K.
