1. The Roy M. Speer Foundation transferred all of its assets, including its shares of Procyon, to the Speer Foundation on July 1, 2017. This Form 3 is being filed late due to administrative oversight.

2. The reported securities are owned directly by the Speer Foundation (the "Foundation"). Lynnda L. Speer and Richard M. Speer indirectly own the reported securities due to their respective roles as co-trustees of the Foundation.
