Explanation of Responses:

1. Received, together with additional cash consideration, in exchange for 1,500 shares of Global Houghton Ltd. common stock in connection with combination between Quaker Chemical Corporation and Houghton International (the "Combination"). On the effective date of the Combination, the closing price of Quaker's common stock was $182.27 per share.

2. 180 of these shares are held in escrow for indemnification purposes related to the Issuer's acquisition of Global Houghton Ltd.
