Assets Control of the U.S. Department of the Treasury (“OFAC”) or the U.S. Department of State and including, without limitation, the designation as a “specially designated national” or “blocked person”), the United Nations Security Council (“UNSC”), the European Union, His Majesty’s Treasury (“HMT”), or other relevant sanctions authority (collectively, “Sanctions”), or (ii) located, organized or resident in a country or territory that is the subject or target of Sanctions, including, without limitation, the so-called Donetsk People’s Republic, the so-called Luhansk People’s Republic and any other Covered Region of Ukraine identified pursuant to Executive Order 14065, the non-government controlled areas of the Zaporizhzhia and Kherson regions of Ukraine, the Crimea region of Ukraine, Cuba, Iran, North Korea and Syria (each, a “Sanctioned Country”); and the Company will not directly or indirectly use the proceeds of the offering of the Securities hereunder, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person or entity (iii) to fund or facilitate any activities of or business with any person or entity that, at the time of such funding or facilitation, is the subject or target of Sanctions, (iv) to fund or facilitate any activities of or business in any Sanctioned Country or (v) in any other manner that will result in a violation of Sanctions by any persons or entities (including any persons or entities participating in the transaction, whether as underwriter, initial purchaser, advisor, investor or otherwise). Since April 24, 2019, the Company and its subsidiaries have not knowingly engaged in and are not now knowingly engaged in any dealings or transactions with any person that at the time of the dealing or transaction is or was the subject or the target of Sanctions or with any Sanctioned Country.
(gg) No Stabilization. The Company has not taken, directly or indirectly, any action designed to or that could reasonably be expected to cause or result in any stabilization or manipulation of the price of the Securities.
(hh) Cybersecurity; Data Protection. The Company and its subsidiaries’ respective information technology assets and equipment, computers, systems, networks, hardware, software, websites, applications, databases, and other similar or related equipment and technology (collectively, “IT Systems”) are adequate for, and operate and perform in all respects in conformance with their specifications or contracted requirements as required in connection with, the operation of the respective businesses of the Company and its subsidiaries as currently conducted, and to the knowledge of the Company, the IT Systems are free and clear of all bugs, errors, defects, Trojan horses, time bombs, malware and other corruptants, other than as would not reasonably be expected to result, individually or in the aggregate, in a Material Adverse Effect. The Company and its subsidiaries (i) maintain commercially reasonable (and consistent with industry standards and practices) backup and disaster recovery technology, controls, policies, procedures, and safeguards designed to maintain and protect their confidential information and the integrity, continuous operation, redundancy and security of their respective IT Systems and data, including all personal, personally identifiable, household, sensitive, confidential or regulated data or information (“Personal Data”) used in connection with their businesses, including as processed and stored thereon, and (ii) there have been no destructions, losses, breaches, incidents, violations, outages, compromises or unauthorized or unlawful uses or disclosures of or accesses to same (each, a “Breach”), in each case of (i) and (ii) except as would not, individually or in the aggregate, reasonably be expected to result in a Material Adverse Effect. The Company and its subsidiaries have not been notified of, and have no knowledge of any material incidents under internal review or investigation relating to, any Breach. The Company and its subsidiaries have complied with and are presently in compliance with all applicable laws and statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal and external policies, contractual obligations,
