2. The shares noted are derivative securities based on the Reporting Person's benefits under a non-qualified plan.

3. Represents depositary shares each representing 1/1,000th interest in a share of Series A Non-Cumulative Perpetual Preferred Stock of TCF Financial Corporation.

4. Represents depositary shares each representing 1/1000th interest in a share of Series C Non-Cumulative Perpetual Preferred Stock of TCF Financial Corporation.

5. All of the outstanding Series A Non-Cumulative Perpetual Preferred Stock of TCF Financial Corporation was called for redemption by the issuer pursuant to terms thereof.

6. The redemption price was $25.00 per share, plus accrued and unpaid dividends thereon in the amount of $0.234375 per share, for a total per-share redemption price of $25.234375.
