Additional new shares granted representing the dividend value attributable to the performance shares awarded on 12/31/23 over target due to the performance score of 118% for the March 2021 performance grant to the NEO's. These shares will vest on the same vesting cycle as the March '21 performance shares (1/3 in March 2024, 1/3 in March 2025 and the final 1/3 in March 2026).
