Item 8.01 SEC Other Matters.
As previously reported to the Commission, on December 19, 2018, Capstone Companies, Inc., a Florida corporation, ("Company") entered into a Rule 10b5-1 Purchase Plan (the "Purchase Plan") with Wilson Davis & Co., Inc., a registered broker-dealer, (“WDI”), which Purchase Plan was made pursuant to Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, with respect to open market purchases of shares of common stock (the "Shares") of the Company. On September 23, 2019, the Company signed a revised Purchase Plan to reflect the continuation of the stock purchase program.
This above description of the new Purchase Plan does not purport to be complete and is qualified in its entirety by the text of the extended Purchase Plan, a copy of which is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
The Company cannot predict when or if it will repurchase any shares of common stock as such stock repurchase program will depend on a number of factors, including constraints specified in the Purchase Plan, price, general business and market conditions, and alternative investment opportunities.
