Item 2.02. Results of Operations and Financial Condition
On January 26, 2007 Multi-Color Corporation (the Company) distributed a press release announcing its earnings for the quarter ended December 31, 2006. Subsequent to the earnings release, the Company was notified by the seller of an acquisition target that they were terminating negotiations with Multi-Color Corporation, which is described in Item 8.01 of this Form 8-K. As a result, the Company recorded a pre-tax charge of $759,000 for the three months ended December 31, 2006 related to accounting, legal, investment banking fees and other transaction costs. On January 31, 2007, Multi-Color Corporation distributed a revised press release announcing its revised earnings for the quarter ended December 31, 2006 taking into account this charge. The revised release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
Item 8.01 Other Events
On January 31, 2007, Multi-Color Corporation issued a press release announcing the termination of negotiations related to a potential acquisition. A copy of the press release is attached as Exhibit 99.1.
